Welcome to Cymph. These Terms and Conditions (“Terms”, “T&Cs”) govern your use of the Cymph platform, including the website, application, and any other related services provided by Cymph at cymph.io. By using our service, you agree to these terms.

If you do not agree with these terms, you may not use the platform. We reserve the right to change or update these Terms at any time, and it is your responsibility to check for updates.

2. Definitions

  • “Cymph”, “we”, or “us” refers to Cymph OÜ, its affiliates, and subsidiaries.
  • “User” refers to any individual or entity that accesses or uses the services provided by Cymph.
  • “Services” refers to the platform, application, and related features provided by Cymph.

3. User Obligations

You agree to:

  • Provide accurate and up-to-date information during the registration process.
  • Maintain the confidentiality of your account credentials.
  • Use the services only for lawful purposes and in compliance with all applicable laws.
  • Not to use the services to infringe on the intellectual property rights or privacy rights of others.
  • Not to engage in any activity that may harm or damage the platform, including the use of malicious software, reverse engineering, or unauthorised access to the platform.

4. User Conduct

  • Respectful Communication: Users are expected to maintain a respectful and courteous tone when interacting with other members of the community, including in comments, posts, and communications. Discriminatory, hateful, or abusive language will not be tolerated.
  • Prohibited Content: Users must not upload, post, or share content that is unlawful, offensive, or inappropriate. This includes, but is not limited to, content that promotes hate speech, violence, harassment, or discrimination based on race, religion, gender, sexual orientation, or any other characteristic.
  • No Offensive Language: The use of offensive, obscene, or profane language in any form of communication is strictly prohibited. Any violation may result in suspension or termination of the user’s account.
  • Harassment and Bullying: Users are prohibited from engaging in any form of harassment, intimidation, or bullying. This includes sending threatening or abusive messages to other users.
  • Responsible Use: Users agree to use the platform in a manner that does not harm, inconvenience, or distress others. Any misuse of the platform, such as spamming, trolling, or intentional disruption of discussions, is not permitted.

5. Proprietary Content and Confidentiality

  • Protection of Proprietary Content: Users are prohibited from copying, redistributing, or republishing any proprietary content, including but not limited to playbooks, templates, or documentation, available on the platform without explicit authorisation from the original creator or platform owner.
  • Confidentiality: Users agree not to disclose, share, or make available any playbooks or other proprietary content marked as confidential or intended for limited distribution. This includes sharing content outside the platform or with unauthorised third parties without the proper consent of the content owner.
  • Respect for Intellectual Property: Users must respect the intellectual property rights of other users and the platform. Unauthorised reproduction, dissemination, or modification of any proprietary material is strictly prohibited and may result in immediate suspension or termination of access to the platform.
  • No Unlawful Use: Users must not use proprietary content obtained through the platform for any unlawful purposes, including but not limited to reverse engineering, commercial exploitation, or unauthorised distribution.

6. Eligibility

To use the services, you must:

  • Be at least 18 years old or the legal age in your jurisdiction.
  • If registering on behalf of a company or organisation, you confirm that you have the authority to bind the company or organisation to these Terms.

7. Account Termination

Cymph reserves the right to suspend or terminate your account if:

  • You violate these Terms.
  • Your activities on the platform are deemed harmful, illegal, or fraudulent.
  • You provide false or misleading information during registration.

Upon termination, your access to the services will cease, and any data associated with your account may be deleted or retained as required by the law.

8. Fees and Payment (If Applicable)

  • Subscription Fees: Access to premium features of the platform may require payment of subscription fees. The details of these fees, billing cycles, and payment methods will be provided during the registration or upgrade process.
  • Refund Policy: Subscription fees are non-refundable unless otherwise specified by law or in special circumstances approved by Cymph.

  • Ownership: All content, features, and technology provided by Cymph are the exclusive property of Cymph or its licensors.
  • Restrictions: You may not copy, modify, distribute, or create derivative works from the platform content without express written permission from Cymph.
  • User Content: You retain ownership of any content you create and upload to the platform. By submitting content, you grant Cymph a worldwide, non-exclusive, royalty-free license to use, modify, and display that content for the purpose of providing the services.

Your privacy is important to us. Our Privacy Policy, available at https://www.cymph.io/privacy-policy, explains how we collect, use, and protect your personal data. By using the platform, you consent to the collection and processing of your data in accordance with our Privacy Policy.

  • To the maximum extent permitted by Estonian law, including but not limited to the Estonian Law of Obligations Act.
  • Cymph is not liable for any indirect, incidental, or consequential damages arising from the use of the platform.
  • Cymph’s total liability in any matter related to the platform is limited to the amount you paid for the services in the previous 12 months.

13. Indemnification

​You agree to indemnify and hold harmless Cymph, its officers, directors, employees, and affiliates from any claims, liabilities, or damages arising out of:

  • Your use of the platform.
  • Your violation of these Terms.
  • Any content you upload or submit to the platform.

14. Governing Law

These Terms are governed by the laws of Estonia Any disputes arising under these Terms will be resolved in the courts of Estonia, specifically under the jurisdiction of the Harju County Court or other relevant courts, in accordance with Estonian legal procedures.

15. Dispute Resolution

In the event of any dispute between you and Cymph, you agree to first attempt to resolve the matter informally by contacting us at legal@cymph.io. If the dispute is not resolved within 30 days, either party may pursue formal legal action.

Cymph reserves the right to modify these Terms at any time. Users will be notified of significant changes via email or platform notifications. Continued use of the platform after modifications signifies your acceptance of the new Terms.
